Client Terms (US, Canada and other countries)

Client Terms / US

These Client Terms apply to OneBooked services provided by Momin Sol LLC, a Texas limited liability company whose principal office is at 5900 Balcones Drive #STE 100, Austin, TX 78731, USA, doing business as OneBooked (the Provider, “we”, “us”) to the business named in a signed Order Form (the Client, “you”). Version 1.0, effective September 28, 2026. The version stated in your Order Form applies to you; later versions apply only if you agree to them in writing.

1. Definitions

1.1 In these Client Terms:

(a) Agreement means the signed Order Form, these Client Terms (in the version stated in the Order Form) and the Schedules. If there is a conflict, the Order Form takes priority.

(b) Client Data means all data, content and materials the Client provides or that is collected through the System for the Client, including contacts, conversations, call recordings, forms, bookings and reviews.

(c) Client Assets means the Client’s domains, phone numbers, brand materials, website content and Client Data.

(d) Go-Live Date means the date we notify the Client that the core System is live, or the date the Client starts using it with its own customers, whichever is earlier.

(e) Platform means the GoHighLevel (HighLevel, Inc.) software and any connected third-party services (such as telephony, messaging, payment, email and AI providers) used to run the System.

(f) Setup Services means the one-off build described in Schedule 1 for the setup package in the Order Form.

(g) Managed Services means the ongoing monthly services described in Schedule 1 for the monthly plan in the Order Form.

(h) System means the Client’s configured sub-account on the Platform, including pipelines, calendars, workflows, AI agents, forms, funnels and websites built for the Client.

(i) Usage Charges means Platform subscription and usage costs (SMS, calls, AI minutes, WhatsApp, email and similar) incurred for the Client’s System.

2. Our services

2.1 We will provide the Setup Services, the Managed Services and any add-ons selected in the Order Form with reasonable skill and care, and in line with good industry practice.

2.2 We build the System inside a sub-account of our own agency account on the Platform. The Client does not need its own Platform subscription while the Agreement is in force.

2.3 Monthly hours of changes cover requests such as edits to workflows, messages, forms, pages and AI scripts. Unused hours do not roll over. Work beyond the included hours is charged at the hourly rate in the Order Form, and only with the Client’s prior approval (email is enough).

2.4 Anything not described in the Order Form or Schedule 1 is out of scope. We will quote for it before starting.

2.5 We may use employees, affiliates (including Momin Solutions Ltd and Momin Sol LLC) and vetted subcontractors to deliver the services. We remain responsible for their work.

2.6 The Client may move to a higher monthly plan from the start of any month. Moves to a lower plan take effect from the start of the next month after the Minimum Term.

2.7 Advertising. Paid advertising management is not included in any plan unless agreed in writing. Where we help with ads, the Client pays advertising spend directly to the ad platform from its own ad account, remains responsible for that spend and for the content of its ads, and we do not guarantee ad results.

3. Client responsibilities

3.1 To start the build, the Client will provide within 5 business days of kickoff: access to its booking or practice software, domains and existing accounts; its services, prices and business hours; brand assets; the information needed for number and sender registration; and a named contact who can approve work.

3.2 The Client is responsible for the accuracy of the information it gives us, for reviewing and approving messages, scripts and pages before launch, and for how its team uses the System.

3.3 If the Client delays providing what we need by more than 30 days, we may invoice the second setup payment and move the project to the next available slot.

3.4 The Client will not use the System to send unlawful, misleading or unsolicited messages, and will comply with the Platform’s acceptable use rules.

4. Fees and payment

4.1 The Client will pay the fees in the Order Form. Invoices are due within 7 days unless they are collected automatically by card or ACH debit.

4.2 Usage Charges are passed through at cost without mark-up. We may collect them through the Platform’s rebilling or wallet features, or invoice them monthly in arrears. Some Usage Charges (for example SMS and call rates) are set by the Platform or carriers and may change.

4.3 All fees are exclusive of any sales, use or similar taxes, which the Client will pay where applicable.

4.4 Overdue amounts carry interest at 1.5% per month, or the maximum rate allowed by law if lower, from the due date until paid.

4.5 If any amount is more than 14 days overdue, we may, after giving 7 days’ written notice, pause the Managed Services and, if still unpaid, pause the System’s automations. We will not delete Client Data during a pause.

4.6 The first setup payment is non-refundable once kickoff has taken place, because it covers planning and build time already committed. Monthly fees are not refundable for part months.

4.7 After the Minimum Term, we may change our monthly plan fees by giving at least 60 days’ written notice. The Client may end the Agreement before the change takes effect.

4.8 Recurring payments. Where the Client gives a recurring payment authorisation in the Order Form, we may charge the nominated card or account for monthly plan fees, Usage Charges and approved extra work as they fall due, until the Agreement ends and all amounts are paid. We will send a receipt or invoice for each charge. The Client will raise any billing question with us first, before disputing a charge with its bank or card issuer.

5. Term and termination

5.1 The Agreement starts when both parties sign the Order Form and continues until ended under this clause.

5.2 The Managed Services have a Minimum Term of 3 months from the Go-Live Date. After that, either party may end them by giving 30 days’ written notice.

5.3 Either party may end the Agreement immediately by written notice if the other party commits a material breach that it does not fix within 14 days of being asked to, or becomes insolvent or stops trading.

5.4 If the Client ends the Agreement during the Minimum Term (other than under clause 5.3), the monthly fees for the rest of the Minimum Term become due.

5.5 Clauses 6, 9, 10, 11, 12 and 14 survive termination.

6. Your data, domains and numbers

6.1 The Client owns its Client Assets. Nothing in the Agreement transfers ownership of Client Data, domains or phone numbers to us, even though they are held in our agency account on the Platform.

6.2 Domains and phone numbers bought for the Client are bought on its behalf and at its cost, and will be registered to or transferable to the Client.

6.3 Handover. When the Agreement ends, and once all undisputed amounts are paid, we will within 30 days:

(a) provide an export of the Client Data held in the System (such as contacts, conversation history, opportunities and form submissions) in a standard format such as CSV;

(b) transfer, or release control of, the Client’s domains;

(c) help port the Client’s phone numbers to a provider of its choice (carrier porting fees are passed through at cost);

(d) if the Client has its own Platform account, copy the Client-specific funnels, websites and workflows into it where the Platform allows; and

(e) provide a short handover call.

6.4 Up to 3 hours of handover work are included. Further work is charged at the hourly rate.

6.5 Unless the Client asks us to keep it longer (at cost), we will delete the Client’s sub-account and Client Data 60 days after the Agreement ends, except where we must keep records by law.

7. Messaging, calls and compliance

7.1 We will set up the System in line with good practice for the TCPA, CAN-SPAM, CASL (for Canadian recipients), A2P 10DLC carrier rules and any rules of the Client’s professional regulator or state board. This includes consent capture on forms, opt-out handling, and sender or number registration.

7.2 The Client remains responsible, as the business contacting its own customers, for: having a lawful basis and any required consent to contact each person; the content of its messages and offers; and complying with advertising and professional rules that apply to its services.

7.3 Where calls are recorded or answered by an AI receptionist, the Client is responsible for giving any notice and obtaining any consent that the law requires. We will include a standard disclosure in the AI greeting unless the Client instructs otherwise in writing.

7.4 Carriers and the Platform may block, filter or delay messages or suspend numbers. We will help resolve these issues but cannot guarantee delivery.

8. AI features

8.1 AI receptionist, chat and similar features generate responses automatically and may sometimes be inaccurate or incomplete. The Client will review and approve AI scripts and knowledge before launch and tell us promptly about any wrong answers so we can tune them.

8.2 AI features are set up to answer general questions, capture details and book appointments. They are not set up to give medical, legal or financial advice, and must not be relied on for emergencies. Clinical, legal and urgent questions are handed to the Client’s team.

9. Data protection

9.1 Each party will comply with applicable US federal and state privacy laws Canada’s PIPEDA and CASL for Canadian clients, and any other data protection law that applies to the Client.

9.2 For personal data in the System, the Client is the controller (or business) and we are its processor (or service provider). The data processing terms in Schedule 2 apply.

9.3 No protected health information (HIPAA). Our services do not include creating, receiving, storing or sending protected health information (PHI) as defined under the US Health Insurance Portability and Accountability Act (HIPAA), and we do not sign Business Associate Agreements. The Client confirms that:

(a) it is not a HIPAA covered entity or business associate; and

(b) it will not upload, import, send or ask us to process PHI, including patient records, clinical notes, diagnoses, treatment or medical history, or health insurance details, and will not connect the System to any practice management or electronic health record system that holds PHI.

9.4 The Client will tell us promptly in writing if it becomes (or finds out it is) a HIPAA covered entity or business associate, or if PHI enters the System. We may then stop the affected processing, delete or return the PHI, and switch off the affected features, and either party may end the Agreement by written notice without the charge in clause 5.4. We may offer a separate HIPAA service on new terms, but are not obliged to.

9.5 The Client is responsible for, and will reimburse us for, any claims, fines and reasonable costs we incur because PHI entered the System in breach of clause 9.3. The limit in clause 12.3 does not apply to this obligation.

10. Confidentiality

10.1 Each party will keep the other’s confidential information secret and use it only to perform the Agreement, except where disclosure is required by law or to professional advisers bound by confidentiality. This obligation lasts for 3 years after the Agreement ends, and indefinitely for Client Data.

11. Intellectual property

11.1 The Client owns its brand, content and Client Data.

11.2 We own our pre-existing templates, workflows, scripts, methods and know-how, and any general improvements to them. These are not transferred.

11.3 We grant the Client a non-exclusive, perpetual licence to use the System and the Client-specific materials we build for its own business, including after handover. The Client may not resell or distribute them as templates or snapshots.

12. Liability

12.1 Nothing in the Agreement limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot be limited by law.

12.2 Neither party is liable for loss of profit, revenue, business or goodwill, or for any indirect or consequential loss.

12.3 Each party’s total liability under or in connection with the Agreement in any 12-month period is limited to the total fees paid and payable by the Client in the 12 months before the event giving rise to the claim (excluding Usage Charges). This limit does not apply to the Client’s obligation to pay fees.

12.4 We are not responsible for outages, changes, errors or discontinued features of the Platform or other third-party services, or for delays caused by the Client. We will use reasonable efforts to work around them.

12.5 We will work to improve the Client’s results, but we do not guarantee any particular number of leads, bookings, reviews or revenue.

13. Non-solicitation

13.1 During the Agreement and for 12 months after it ends, the Client will not directly hire or engage any of our staff or subcontractors who worked on its account without our written consent.

14. General

14.1 Notices may be sent by email to the contacts in the Order Form (our email is hello@onebooked.com) and take effect on the next business day.

14.2 Entire agreement. The Agreement is the whole agreement between the parties about its subject matter. Changes must be agreed in writing (email is enough if it clearly states the change and both parties confirm it).

14.3 Force majeure. Neither party is liable for delay caused by events outside its reasonable control, including Platform or carrier outages.

14.4 Assignment. Neither party may transfer the Agreement without the other’s consent, except that we may transfer it to Momin Solutions Ltd, Momin Sol LLC or another company in our group.

14.5 Independent parties. The parties are independent contractors. Nothing in the Agreement creates a partnership, employment or agency relationship.

14.6 Business use. The Client confirms it is entering into the Agreement for business purposes and not as a consumer.

14.7 Publicity. We will only use the Client’s name, logo or results in our marketing (such as case studies) if the Client has given permission in the Order Form or in writing. The Client can withdraw permission at any time for future use.

14.8 Governing law. This Agreement is governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. The state and federal courts located in Travis County, Texas have exclusive jurisdiction, and each party consents to venue there.

Schedule 2: Data processing terms

1 Scope. We process personal data only on the Client’s documented instructions (the Agreement and the Client’s reasonable written instructions), to provide the services. The processing covers contact, booking, communication and (where applicable) health-related data (but never PHI, which is excluded under clause 9.3) of the Client’s customers, prospects and staff, for the duration of the Agreement.

2 Confidentiality. Everyone we authorise to process the data is bound by confidentiality.

3 Security. We use appropriate technical and organisational measures, including role-based access, strong authentication, least-privilege access to sub-accounts and the Platform’s security controls.

4 Sub-processors. The Client authorises the use of HighLevel, Inc. and the telephony, messaging, email, payment and AI providers connected to the Platform, and our affiliates and subcontractors. We will tell the Client about new sub-processors and the Client may object on reasonable grounds.

5 International transfers. Where personal data is transferred outside the UK or EEA (including to the US), we will make sure an appropriate safeguard is in place, such as the UK International Data Transfer Addendum or EU Standard Contractual Clauses.

6 Assistance. We will help the Client respond to requests from individuals exercising their rights, and with security, breach notification and data protection impact assessments, as far as reasonably possible given the nature of the processing.

7 Breaches. We will notify the Client without undue delay, and in any case within 48 hours, after becoming aware of a personal data breach affecting Client Data.

8 End of processing. At the end of the Agreement we will return and then delete Client Data as set out in clause 6.

9 Audit. We will make available information reasonably needed to show compliance with these terms, and allow reasonable audits on at least 30 days’ notice, no more than once a year.

10 US clients. Where US state privacy laws apply, we will act as a service provider: we will not sell or share the Client’s personal information, or use it for any purpose other than providing the services.
